Constitution and Governance

 

The Society is an unincorporated members association and is registered as a charity with the Charity Commission for England and Wales (Charity Number 237885).

Its objectives are set out in, and its activities are governed by, a formal constitution.

The objectives are, by charitable means only:

(a)        To encourage high standards of architecture and Town Planning in the City of Colchester.

(b)        To stimulate public interest in and care for the beauty, history and character of the area of the City and its surroundings.

(c)       To encourage the preservation, development and improvement of features of general public amenity and of historic interest.

(d)        To pursue these ends by means of meetings, exhibitions, lectures, publications, other forms of instruction and publicity and the promotion of schemes of a charitable nature.

(e)        To co-operate with other local, regional and national organisations in the pursuit of similar Objectives on a broader geographical basis.

 

The most recent constitution was adopted at the Annual General Meeting of members held on 10 June 2O25.

Day to day management of The Society is vested in an Executive Committee drawn from and elected by the wider membership.

The members of the Executive Committee are, individually, legal trustees of the charity.

The Executive Committee has wide discretion in how it operates. However it must always and only act in the best interests of the charity and in accordance with both the constitution and the laws of England and Wales.

Members of the Executive Committee are appointed by the fully paid-up members of The Society in General Meeting.

Their term of office normally runs for one year or until the next Annual General Meeting.  Members of the Committee may stand for re-election and may serve further terms.

The Executive Committee may, at their discretion, co-opt additional members to The Committee to fill vacancies between Annual General Meetings. The appointment of a         co-opted member automatically lapses at the next Annual General Meeting. They may, if they wish, stand for election and, if elected by the membership, may continue to serve on The Committee.

Membership of The Society is open to individuals, couples and to organisations and corporate bodies.

The Society encourages and very much welcomes new applications for membership.
